Bruckmann, Rosser, Sherrill & Co. Management, L.P. (BRS Management) manages private equity funds that invest in operating entities, primarily in the U.S. consumer goods and services sectors. BRS Management identifies and evaluates investment opportunities, negotiates investments, manages and monitors investments, and seeks to achieve dispositions for such investments. Investments are predominantly in non-public companies. Senior principals of BRS Management serve on the boards of directors of portfolio companies.
BRS Management manages private investment funds and receives a management fee from Fund IV. The management fee is 2% per year of aggregate capital commitments during the commitment period. After the commitment period, the management fee is 1.75% per year of the aggregate amount of capital contributions relating to the fund's aggregate investment in its portfolio companies that have not been disposed of or completely written off for U.S. federal income tax purposes. The management fee is reduced by private placement agent fees, organizational expenses exceeding $1.5 million, and portfolio company fees received by BRS Management.
