Garnet Equity Capital Holdings, Inc. and its relying advisor, AMS Investors, LLC, provide investment management services to two pooled investment vehicles (funds). The funds employ long/short strategies focusing on equities and options. Garnet does not tailor its investment advisory services to the individual needs of investors in the funds.

Also receives performance-based compensation of 17.5% of net capital appreciation, subject to a prior high watermark and loss carryforward. While generally not negotiable, the Adviser, in its sole discretion, has and may, from time to time, waive or modify the management fee and the performance-based compensation for principals, members, employees or affiliates of the Adviser or any general partner to a Client, relatives of such persons, and for certain large or strategic investors, via, side letters or similar written agreements with one or more investors in a Client.
