Baird Venture Partners Management Company IV, LLC manages investments for private investment-related funds. Baird Venture Partners identifies and evaluates investment opportunities, negotiates investments, manages and monitors investments, and achieves dispositions for such investments. Baird Venture Partners does not tailor its advisory services to the needs of individual investors nor does it permit individual investors to impose restrictions on investing in certain securities or types of securities.
Fee Structure
Baird Venture Partners manages investments for private investment funds. The funds pay an annual management fee, payable quarterly in advance, equal to 2.0% of aggregate commitments during the investment period. After the investment period, the management fee is reduced to 90% of the previous 12-month period's fee. After the initial 10-year term, the management fee equals 2.0% per year of the aggregate amount of investment contributions with respect to the portion of each investment that has not been disposed of or completely written off. The management fee will be reduced by 100% of any Transaction Fees for the quarterly period immediately succeeding the quarterly period in which the Transaction Fee was received by the Management Person. After the Fund has achieved a 6% compounded annually preferred return, the General Partner will receive a carried interest or performance fee from investors in the Fund equal to 20% of distributions.
