Greenbacker Capital Management manages investments for several private funds. Here's a summary of how those fees work:

  • Greenbacker Renewable Energy Company II, LLC (GREC II):
    • Class F shares: 1.00% per year of the net asset value.
    • Class I, Class D, Class T, and Class S shares: A tiered fee schedule applies, with 1.5% annually on net asset value up to $1,500,000,000 and 1.25% annually on net asset value greater than $1,500,000,000.
  • Greenbacker Renewable Opportunity Zone Fund LLC (GROZ): 1.5% per year of the average gross invested capital, paid monthly.
  • Greenbacker Development Opportunities Fund I, L.P. (GDEV): 2% annually of the aggregate capital commitments during the investment period. After the investment period, the fee is 2% annually of the aggregate cost basis of portfolio investments, paid quarterly.
  • Greenbacker Development Opportunities Fund II, L.P. (GDEV II): 2% annually of the aggregate capital commitments during the investment period. After the investment period, the fee is 2% annually of the aggregate cost basis of portfolio investments, paid quarterly.

These fees are deducted directly from the fund accounts. Some supervised persons also receive compensation for selling shares of GREC LLC, GREC II, GDEV, and GDEV II, which presents a conflict of interest.
