Structural Capital Management Company II, LP provides investment advice to privately offered pooled investment vehicles like funds and special purpose vehicles. Structural Capital primarily focuses on providing growth capital financing to companies in technology and technology-enabled markets. Structural Capital's services are provided based on the terms of the applicable private placement memorandum or operating agreement, and are not tailored to the individual needs of the investors.
Fee Structure
Structural Capital manages investments for privately offered pooled investment vehicles. Fees are based on the governing documents of each fund.
For Funds II and III, the management fee is between 1.75% and 2.00% per year of the commitments during the investment period. After that, the fee is calculated based on the outstanding principal amount of portfolio investments, less proceeds from dispositions representing a return of capital and any write-downs or write-offs.
For Fund I, the management fee is 2.00% per year of the commitments from investors. Starting in year three, the fee is reduced annually, and from year eight, Structural Capital receives fees to cover expenses as set forth in Fund I’s approved budget, but not exceeding 0.25% per year of commitments.
For Fund IV, during the investment period, Structural Capital receives a management fee of 0.5% per year of aggregate commitments plus an additional 1.25% per year of the outstanding principal amount of portfolio investments, less any write-downs or write-offs. After the investment period, the management fee is 1.75% per year of the fund’s outstanding portfolio loans and equity investments.
