Monogram Capital Management is an investment management firm that provides advisory services on a discretionary basis to privately offered pooled investment vehicles (the “Funds”) that are exempt from registration. Each fund generally makes investments in the retail and consumer sectors based in North America. Monogram also manages special purpose vehicles (“SPVs”) each of which was formed to invest in a single portfolio company.
Fee Structure
Monogram Capital Management manages investments for pooled investment vehicles. Investors in these funds will be assessed an annual management fee of up to 2.0% of their commitment, payable quarterly in advance. After a certain period, the management fee will be 2% per year of the adjusted cost of all unrealized investments. Monogram is also entitled to receive carried interest distributions equal to 20% of net profits from the disposition of investments, after investors receive their capital contributions and an 8% preferred rate of return. Management fees for SPVs typically range from 0.0% to 2.0% of the commitment for up to five years, with carried interest distributions ranging from 10-25%.
