Grafton Street Partners provides investment advice to private investment funds and co-investment vehicles. Grafton aims for long-term capital growth by investing in public and private equity and working with fund managers. Grafton does not tailor its advisory services to the individual needs of underlying investors in the Funds. Grafton may enter into side letters and other agreements and arrangements with certain investors in the Funds that may provide terms and conditions that are more advantageous than those set forth in the respective Fund’s offering materials.
Grafton Street Partners charges a percentage of assets under management and performance-based incentive allocation. The management fee is calculated at an annual rate dependent upon the aggregate amount of fee-paying assets of the respective Fund or the total committed capital. The incentive allocation is typically calculated based upon an individual investor’s realized and unrealized return over a particular period of time compared to a “high- water mark” and “hurdle" as set forth in the relevant offering materials. Grafton reserves the right to waive, modify or calculate differently the management fee and incentive allocation for certain investors.
